SPE = single purpose entity
separate legal entity, LLC chosen rather than joint venture because of 3rd party liability protection

Calvin's Take
1) It's gratifying that a hot topic and wishlist item from past TAP conferences have been formally addressed by AIA and its Contract Documents (as well as other industry groups / initiatives such as the ConsensusDocs).

2) Having a tangible and explicit document is a good vehicle for project teams to come together, and accept / modify / re-formulate their positions.

Contracts seem to be a technical approach to something that is first and foremost a relational and leadership issue. Even the Sutter Health relational contract is 85 pages. Maybe we all need to read books like "Speed of Trust" by Covey to get our thinking around the business efficiencies and value for building a trust-basis AND THEN develop enabling tools like contracts to reflect that. I haven't heard anything from any of the presenters about the leadership skills or context for building this trust.
